M5CAIRO Terms of Use

Scope: This agreement covers M5CAIRO consulting services and the m5cairo.com website. Our applications (KITB, BitShrug, MVM Earned) are governed by their own Terms of Use, available on each app’s dedicated page.

These Terms of Use (“Terms”) constitute a binding agreement between you and M5 Capital Partners LLC, operating as M5CAIRO (“M5CP,” “we,” “us,” or “our”). By accessing our website or engaging our consulting services, you agree to these Terms.

1. Services Provided

M5CAIRO provides the following consulting services through this website:

  • AI Readiness Audits: Structured assessments of organizational AI readiness, delivered as scored reports with prioritized roadmaps
  • AI Strategy Consulting: Advisory services for AI implementation, use-case identification, and technology selection
  • Custom Application Development: Milestone-based design and development of AI-powered applications

2. AI Readiness Audit

  • The initial AI Readiness Audit is provided at no cost
  • The audit does not create an ongoing service obligation for either party
  • Audit findings and recommendations are provided for informational purposes and do not constitute a guarantee of results if implemented
  • All data shared during the audit process is treated as confidential

3. Paid Consulting Engagements

  • All paid engagements are governed by individual Statements of Work (SOW) that define scope, milestones, deliverables, timeline, and fees
  • SOWs are executed separately and supersede these general Terms for the specific engagement
  • Payment is structured on a milestone basis: fees are due upon completion and acceptance of each defined milestone
  • Either party may terminate an engagement with 30 days written notice, subject to SOW terms
  • Completed milestones are non-refundable. Unused prepaid amounts for future milestones will be refunded. See our Returns & Refunds policy for full details.

4. Intellectual Property

4.1 M5CAIRO Property

All website content, branding, methodologies, frameworks, templates, and proprietary tools are the intellectual property of M5 Capital Partners LLC. You may not reproduce, distribute, or create derivative works without written permission.

4.2 Client Property

All client data, business information, and materials shared during engagements remain the exclusive property of the client at all times.

4.3 Custom Development

Ownership of custom-developed software, models, and deliverables is defined in the applicable SOW. Unless otherwise specified, custom development IP transfers to the client upon full payment of all associated milestones.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the course of any engagement. Paid engagements are covered by separate NDAs. Information shared during the free AI Readiness Audit is treated as confidential by default, even without a formal NDA.

6. Website Use

By using this website, you agree not to:

  • Use the site for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Use automated tools to scrape, crawl, or extract content
  • Submit false or misleading information through forms
  • Interfere with site operations or infrastructure

7. Limitation of Liability

To the maximum extent permitted by law, M5 Capital Partners LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website or consulting services. Our total aggregate liability for any claim shall not exceed the fees actually paid by you to M5CAIRO for the specific service giving rise to the claim in the 12 months preceding the event.

8. Indemnification

You agree to indemnify and hold harmless M5 Capital Partners LLC, its officers, employees, and agents from any claims, liabilities, damages, or expenses arising from your violation of these Terms or your misuse of our services.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the state in which M5 Capital Partners LLC is registered. Any disputes arising under these Terms shall first be submitted to good-faith mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, or in the courts of competent jurisdiction.

10. Modifications

We may update these Terms at any time. Material changes will be communicated via email to active clients and a prominent notice on our website at least 30 days before taking effect. Continued use of our website or services after the effective date constitutes acceptance of the revised Terms.
